Any interaction, purchase, or transaction you conduct with a Merchant listed on our Platform is solely between you and that Merchant and is subject to that Merchant's own terms and policies.
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Merchant information, including UCP manifest data, compliance status, and performance metrics, is collected through automated systems and may not always be current or accurate. Users should conduct their own due diligence before engaging with any Merchant listed on the Service. We may remove or modify any listing at our sole discretion at any time without notice.
The Service and its original content, features, functionality, design, and compilation are owned by UCP Market and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Our trademarks, service marks, and trade dress may not be used in connection with any product or service without our prior written consent.
Store logos, brand names, trademarks, and other intellectual property displayed on the Service are the property of their respective owners and are displayed for identification purposes only. Their inclusion does not imply endorsement by UCP Market or by the respective trademark holders.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UCP MARKET, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING MERCHANTS; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY MERCHANT LISTED ON THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless UCP Market, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party, including any Merchant; or (d) your violation of any applicable laws, rules, or regulations.
Informal Resolution: Before filing any formal dispute, you agree to first contact us through our website to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
Binding Arbitration: If the dispute is not resolved informally within 30 days, either party may elect to have the dispute finally and exclusively resolved by binding arbitration. The arbitration shall be administered under the rules of the applicable arbitration body in the jurisdiction specified in the Governing Law section below. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Delaware for the resolution of any disputes not subject to arbitration.
If you are a consumer in the European Economic Area (EEA), the United Kingdom, or any other jurisdiction that provides mandatory consumer protections, nothing in these Terms affects your rights as a consumer under the applicable mandatory consumer protection laws of your country of residence.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and UCP Market regarding the use of the Service, superseding any prior agreements between you and UCP Market relating to the Service.
The failure of UCP Market to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision shall only be effective if made in writing and signed by an authorized representative of UCP Market.
UCP Market shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet service provider failures, or third-party service interruptions.
